Announcement of Proposed Changes to HEC’s Articles of Incorporation and Bylaws

The Board of Governors of the Hawaii Employers Council has approved for consideration by the membership a number of proposals to change the Articles of Incorporation and Bylaws. The main proposals involve: (1) reducing the number of Governors on the Board from a minimum of 33 to a minimum of 19; (2) allowing the Bylaws to be amended by a vote of the Board, in addition to amendments approved by the Membership (currently, only the Membership may amend the Bylaws); and (3) elimination of write-in nominations for the Board of Governors.

Members may vote on these changes via proxy or in person at the membership meeting on April 27 at 9:00 a.m.
